Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RuneSpoke platform, websites, and related services (collectively, the "Service") provided by RuneSpoke ("RuneSpoke", "we", "our", or "us"), based in Walnut Creek, California. RuneSpoke is a cloud-hosted, AI-native developer platform that unifies code review, issues, CI/CD, and deployments with built-in AI FinOps and governance. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, you may not use the Service.

2. Accounts and Registration

  • You must provide accurate and complete information when creating an account and keep it up to date.
  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
  • You must notify us promptly at hello@runespoke.ai of any unauthorized use of your account or any other breach of security.
  • You must be at least the age of majority in your jurisdiction to use the Service.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property rights.
  • Upload or transmit malware, or attempt to gain unauthorized access to the Service or related systems.
  • Interfere with, disrupt, or place undue load on the Service or its infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Use the Service to generate, store, or distribute unlawful, harmful, or infringing content.
  • Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.

4. Customer Data and Ownership

You retain all right, title, and interest in and to the code, repositories, content, and other data you submit to the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and transmit Customer Data solely as necessary to provide and improve the Service and to comply with applicable law. We do not claim ownership of your Customer Data, and we do not use your private code to train our own models. You are responsible for ensuring you have the necessary rights to submit Customer Data and for the accuracy, quality, and legality of that data.

5. Bring Your Own AI (BYOAI) and Third-Party Providers

RuneSpoke operates on a Bring Your Own AI model. You connect your own accounts and API keys for third-party AI providers (such as model and inference providers of your choice), and the Service orchestrates requests to those providers on your behalf. Your use of any third-party AI provider is governed by that provider's own terms of service, acceptable use policies, and privacy policies, and you are responsible for complying with them. RuneSpoke is not responsible for the availability, accuracy, pricing, or output of any third-party provider. Fees and usage charges incurred with your AI providers are your responsibility and are billed by those providers directly.

6. Beta and Service Availability

Portions of the Service may be offered on a beta, preview, or early-access basis and may be incomplete, change without notice, or contain errors. Beta features are provided "as is" and "as available" without warranty of any kind. While we strive for high availability, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

7. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks, is owned by RuneSpoke or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights are granted to you in or to the Service. Any feedback or suggestions you provide may be used by us without restriction or obligation to you.

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ALL OUTPUT BEFORE RELYING ON IT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RUNESPOKE OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases immediately. We will make Customer Data available for export for a reasonable period following termination, after which it may be deleted in accordance with our data retention practices.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. You agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
